SharesSaver provides an investment management platform that enables users to manage their investments, including:

• Investment Portfolio Management
• Stock and Share Tracking
• Financial Analytics and Reporting
• Investment Goal Setting and Monitoring
• Integration with financial institutions

2.1 Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice. We are not liable for any downtime or service interruptions.

2.2 Service Updates

We continuously improve our Services and may add, modify, or remove features at our discretion. We will notify you of significant changes that materially affect your use of the Services.

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Use a strong, unique password
• Enable two-factor authentication when available
• Not share your account credentials with others
• Notify us immediately of any unauthorized access

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk to our Services or other users.

5.2 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. You authorize us to charge your payment method on file for all applicable fees.

5.3 Free Trial

We may offer a 14-day free trial for new customers. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be automatically charged for your selected plan.

5.4 Refund Policy

All fees are non-refundable except as required by law or as explicitly stated in your service agreement. If you cancel your subscription, you will retain access to the Services until the end of your current billing period.

5.5 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent billing periods.

5.6 Taxes

All fees are exclusive of applicable taxes, duties, and similar governmental assessments. You are responsible for paying all taxes associated with your use of the Services.

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Transmitting malware, viruses, or harmful code
• Attempting to gain unauthorized access to our systems
• Interfering with other users' use of the Services
• Scraping or harvesting data without permission
• Impersonating another person or entity
• Engaging in fraudulent activities

7.1 Our Rights

The Services, including all content, features, and functionality, are owned by SharesSaver and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback without compensation to you.

8.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or engage in conduct that we believe is harmful to the Services or other users.

8.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We will make your data available for download for 30 days after termination, after which it will be permanently deleted.

To the maximum extent permitted by law, SharesSaver shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall our total liability to you for all claims related to the Services exceed the amount you paid to us in the 12 months preceding the claim.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

You agree to indemnify, defend, and hold harmless SharesSaver, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content submitted to the Services

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SharesSaver regarding the Services and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
