What Is a Share Registrar?

Every Nigerian listed company appoints a share registrar to maintain its shareholder register and manage communications with shareholders. The registrar is the entity you deal with for dividend payments, address updates, AGM notices, and any corporate action relating to your shares. Understanding who your registrar is — and how to contact them — is essential for any registered Nigerian shareholder.

Definition

A share registrar is a regulated company appointed by a listed corporation to maintain its official shareholder register — the authoritative record of who owns how many shares, what each shareholder's contact details and bank details are, and when share transactions occur.

What a share registrar does

The registrar's core responsibilities include: maintaining the official shareholder register; processing share transfers and ownership changes; processing dividend payments (including e-dividend mandate registration); sending AGM notices and proxy forms to shareholders; administering corporate actions such as rights issues and bonus issues; and issuing share certificates or CSCS crediting notifications.

Major Nigerian share registrars

The main share registrars operating in Nigeria include: Africa Prudential Plc (a publicly listed registrar on the NGX); First Registrars and Investor Services Limited; DataTrust Registrars; and Meristem Registrars. Each registrar is appointed by the companies they serve — you deal with the specific registrar appointed by each company you own shares in.

Registrars and dividend processing

When a Nigerian company declares a dividend, the registrar processes the payment to eligible shareholders. For the e-dividend system, the registrar needs your bank account details linked to your CSCS number. If your bank details are not registered, dividend payments may accumulate as unclaimed dividends in your registrar account. Contact the relevant registrar to register or update your bank mandate.

Updating your details with the registrar

If your registered address, phone number, email address, or bank account changes, you should notify the relevant registrar promptly. Each registrar has its own mandate update form. Some registrars accept updates digitally through their portals; others require physical forms. Keeping your details up to date ensures you receive dividend payments, AGM notices, and corporate action notifications.

Registrars and CSCS

The registrar and the CSCS serve complementary but distinct roles. The CSCS is the central depository — it holds electronic records of share ownership for trading and settlement purposes. The registrar maintains the company's own shareholder register (which derives from CSCS records) and manages shareholder communications and corporate actions on behalf of the company. For most practical purposes, your CSCS account is the central record of your shareholdings.

Frequently asked questions

How do I find out who my registrar is for a specific company?

The registrar is named in the company's annual report (in the corporate information section) and on the company's investor relations website. You can also find it through NGX filings. Common Nigerian registrars include Africa Prudential, First Registrars, DataTrust, and Meristem Registrars.

Why haven't I received my dividend?

Common reasons include: your bank details are not registered with the relevant registrar; your CSCS account is inactive; your address details are out of date; or the dividend was unclaimed from a previous period. Contact the registrar directly to check your dividend status and register or update your e-dividend bank mandate.

Can I hold shares in multiple companies with different registrars?

Yes — each listed company appoints its own registrar. If you hold shares in five companies using three different registrars, you need to ensure your details (especially your e-dividend bank mandate) are updated with each registrar separately.

What is an e-dividend mandate?

An e-dividend mandate is the instruction you give to a registrar to pay any dividends directly to a specified bank account. Setting up e-dividend mandates with each of your registrars ensures your dividends are paid electronically rather than accumulating as unclaimed in the registrar's books.

Is the share registrar the same as the stockbroker?

No — they serve different functions. The stockbroker facilitates the buying and selling of your shares. The registrar maintains the official shareholder record and processes dividends and corporate actions. After you buy shares through a broker, the registrar of the relevant company records you as a shareholder on the company's register.
